Terms of Use

These Terms of Use (“Terms”) govern your access to and use of ziramedical.com and the pages, content, and contact and scheduling forms we operate there (the “Site”). The Site is operated by Zira Medical LLC, a Wyoming limited liability company (“Zira,” “we,” “us,” or “our”).

By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms govern the Site only. They do not govern clinical services. Those are governed by the written client agreement between Zira and the digital health platform that engaged us and, for patients, by the Telehealth Informed Consent and Notice of Privacy Practices presented at the time of care. Where a client agreement covers a subject, the client agreement controls.

Zira is a network of licensed clinicians. Zira does not offer a platform, software, portal, application, or electronic health record. Our clinicians work inside the systems our clients already operate. Any reference on the Site to integration, workflows, or compatibility with named systems describes our clinicians’ ability to work within those systems — it is not an offer of software, and it does not imply any partnership with, endorsement by, or certification from the companies that make them.

The Site is for businesses evaluating or working with Zira — digital health platforms, telehealth companies, and their advisors.

The Site is not a way to obtain medical care. Zira does not accept patients through the Site, does not answer clinical questions submitted through it, and does not form a clinician–patient relationship through it. There is no patient intake, account, or portal here. If you are a patient seeking care, contact the platform where you have an account. If you are experiencing a medical emergency, call 911.

You must be at least 18 and authorized to act for the organization you represent.

Site content — descriptions of clinical categories such as sexual health, peptides, weight management, dermatology, lifestyle, and hormone therapy; turnaround times; and comparisons — is general business information. It is not medical advice, diagnosis, or treatment. Whether any medication is appropriate for any patient is decided by a licensed clinician exercising independent judgment in an individual encounter. Nothing on the Site promises that any patient will be approved for or prescribed anything.

We work to keep the Site accurate, but we do not warrant that it is. Coverage, clinical categories, response times, satisfaction figures, refill allowances, integration details, and any comparison to other companies reflect our understanding at the time of posting and may change. Performance statistics describe past aggregate results and are not a guarantee of future performance or a service-level commitment. Any comparison to another company is our opinion based on publicly available information and should be verified with that company directly.

Binding commitments — scope, pricing, turnaround, coverage, and service levels — exist only in an executed client agreement. Your reliance on Site content is at your own risk.

The Site and its content are owned by Zira or its licensors and protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for internal business purposes. All other rights are reserved. You may not copy, republish, frame, scrape, sell, or make derivative works from the Site without our written consent, though you may print or download a reasonable number of pages for internal reference.

“Zira,” “Zira Medical,” and our logos are trademarks of Zira Medical LLC. Third-party names and marks on the Site — including the names of electronic health record and telehealth systems our clinicians work within, and of other clinician networks — belong to their owners and are used for identification and comparison only. Their appearance does not imply affiliation, sponsorship, endorsement, or certification.

You agree not to:

• use the Site in violation of any law or these Terms;
• submit patient information, medical records, or PHI through the Site’s forms or our general email;
• misrepresent your identity or authority;
• use robots, scrapers, or other automated means to access the Site or harvest data, except search engine indexing;
• probe, scan, or test the Site’s security, or attempt to breach it;
• introduce malware or interfere with the Site’s operation; or
• use the Site or its content to build, market, or gather intelligence for a competing service.

If you send us ideas or suggestions about our services, you grant Zira a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation. Do not send us confidential information unless a signed confidentiality agreement covers it.

By giving us your email address or phone number, you consent to receive communications from us electronically, including Site notices and, where you have requested or consented to them, marketing messages. Electronic communications, records, and signatures satisfy any requirement that a communication be written or signed. Message and data rates may apply. You may opt out of marketing as described in our Privacy Policy.

The Site may link to resources we do not control. We provide those links for convenience, do not endorse them, and are not responsible for their content or practices.

We may modify, suspend, or discontinue any part of the Site at any time. We may revise these Terms by posting a revised version with a new “Last Updated” date, effective on posting. Continued use after that date means you accept the change.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ZIRA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZIRA AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CLINICIANS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING FROM THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

This section limits liability for the Site only. It does not apply to clinical services, which are addressed in the applicable client agreement, and it does not limit liability that cannot be limited by law, including liability for professional negligence, gross negligence, willful misconduct, or fraud.

You agree to defend, indemnify, and hold harmless Zira and its members, managers, officers, employees, clinicians, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your breach of these Terms, or your violation of law or third-party rights.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. You and Zira consent to the exclusive jurisdiction and venue of the state and federal courts serving Sheridan County, Wyoming, for any dispute arising from the Site.

If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at info@ziramedical.com with: your signature; identification of the work; the location of the material; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that your notice is accurate and you are authorized to act.

The Site is operated from the United States for users in the United States. We make no representation that it is appropriate elsewhere. If you access it from outside the United States, you do so on your own initiative and are responsible for local law.

If a provision is unenforceable, it will be limited or severed and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign freely. These Terms and our Privacy Policy are the entire agreement about the Site and supersede prior understandings on that subject. They do not supersede any executed client agreement.
